SunPower is looking for a talented and experienced M&A attorney to join its dynamic, dedicated, and collaborative legal team as Corporate Counsel, M&A. This role will be responsible for supporting legal matters relating to mergers, acquisitions, investments, and other strategic transactions, as well as general corporate and corporate governance matters. 


Knowledge, Skills and Abilities:

  • Possess broad functional expertise in leading M&A and other strategic transactions, from inception to closing and integration, in coordination with other key company stakeholders.
  • Have substantial drafting experience and experience leading cross-functional due diligence teams.
  • Experience working with business development, tax, and other teams to assess and structure transactions.
  • Be skilled in negotiating or advising senior representatives of external and internal organizations on complex and high-value/risk matters.
  • Excellent presentation, facilitation, communication, and project management skills, as well as the ability to navigate within a corporate environment and work with a variety of stakeholders.
  • Capable of identifying and resolving legal and business issues, appropriately balancing risk and advising on key decisions in support of SunPower’s business.
  • Utilize a proactive approach to recognizing needs, anticipating issues, and solving problems.
  • Enjoy a developed understanding of how to operate successfully as a member of an in-house legal team. 
  • Experience applying your M&A expertise to influence function-related company decisions and strategies.
  • Must be self-motivated and able to work independently, as well as in collaboration with colleagues within the legal department and cross-functionally.
  • Must be able to balance competing priorities and exercise solid business judgment.


Specific responsibilities will include:

  • Lead end-to-end M&A and other transaction activities from inception through integration.
  • Partner with business development and integration teams and manage cross-functional legal and other experts to execute transactions.
  • Draft and review transaction-related documents.
  • Coordinate legal support for transactions across the various groups in the Legal Department and other functional areas. 
  • Review and negotiate transaction-related NDAs.
  • Lead due diligence teams.
  • Assess and advise on transaction risks, including associated insurance coverage.
  • Provide advice on transaction structuring, and support transaction negotiations.
  • Spearhead efforts to secure regulatory approvals.
  • Provide post-closing support.
  • Manage outside counsel, including budgeting.
  • Identify and resolve highly complex legal, regulatory, and business issues requiring specialized knowledge and judgment.
  • Effectively share subject matter expertise across the organization to ensure successful transactions.
  • Manage corporate governance activities for SunPower and its subsidiaries as directed, which may include support for the Board or its committees.


Minimum Qualifications:

  • Bachelors and JD degrees.
  • At least one State Bar admission in good standing.
  • A minimum of 5 years of legal experience at a law firm or in-house working directly on M&A and other strategic transactions.
