Sunpower is seeking a Legal Counsel EMEA to be based near Lyon (located at La Tour de Salvagny).

 

ESSENTIAL DUTIES AND RESPONSIBILITIES include the following (other duties may be assigned):

  • Deliver support for all legal matters arising in Sunpower business units in EMEA, including with respect to SunPower’s components sales and distributed generation activities:  drafting/reviewing a broad range of transactional documents (MoU, LOI, guarantees; PV modules sales contracts, CGV/CSV, selective distribution agreements; consulting agreements, etc.); assistance with new market entry processes; governmental tendering procedures; regulatory compliance aspects; intellectual property licensing, pre-dispute resolutions; and general commercial work.
  • Provide a variety of general corporate and commercial legal advice to in-house clients at negotiation, drafting and execution stages, including with respect to risk mitigation, warranty exposures, corporate governance aspects and regulatory/policy compliance (EU directives, FCPA, export compliance US/EU comprehensive and targeted economic sanctions, PV recycling, GDPR, etc.).
  • Analyze and interpret French and EU laws, statutes and regulations, and identify areas of compliance, as well as potential vulnerability and risk; partner with the appropriate business unit(s) and/or operations in order to develop and implement appropriate action plans.
  • Liaise with US Corporate team and outside counsel in connection with the preparation of corporate/regulatory filings (e.g., articles of incorporation, bylaws, annual reports, proxies) and the maintenance of Sunpower’s worldwide corporate records database (GEMS).
  • Assist and support with board of directors/shareholders/committee meetings, including calendaring, developing agendas, and preparing and distributing meeting materials, as well as director and shareholder consents.
  • Support corporate structuring activities, including withdrawals, deregistration and dissolution of legal entities.
  • Engage with and effectively manage and interact with external counsel where appropriate to provide efficient and high-quality support within agreed budgets and deadlines; support external counsel in tracking and monitoring disputes management and maintaining legal billing and matter management tool (through Serengeti tracker).
  • Update and, where necessary, update Sunpower’s templates.
  • Enforce Sunpower’s global policies and liaise with Sunpower’s US-based legal Ops team for the execution of key documents by the company’s officers and directors.
     
    RELATED EXPERIENCE AND EDUCATIONAL REQUIREMENTS
     
    Minimum requirements - The least amount of skills and training candidates must have to do a specific job.  Candidates not meeting these requirements will not be hired for this position.
     
  • Fluent in written and spoken English and French (Italian a plus)
  • A post-graduate degree from a EU law university
  • At least 7 years of relevant post-graduate legal experience in international law firms or in-house
  • Broad-based commercial, competition law and corporate experience
  • Experience of drafting and reviewing complex agreements
  • Ability to deliver results in a fast-paced environment, on-time and within budget
  • Motivated and business oriented with an ability to proactively engage with business colleagues to find practical solutions
  • Sound judgment, ability to work independently and effectively
  • Conscientiousness and attention to detail
  • Strong communication skills and a proven ability to advise business managers on complex legal matters
